Sourced Rentals Rental Agreement

• Sourced Rentals / T1 Ventures, LLC — marketplace operator. We provide listings, search, booking, messaging, payment processing, documentation tools, and support. We are not the owner, manufacturer, lessor, or operator of the assets listed, unless a booking expressly says otherwise.
• Host — the party offering the asset. The Host owns or controls the asset and is responsible for its condition, legality, accuracy of the listing, and any insurance arrangements applicable to their own property.
• Renter — the party renting the asset. The Renter is responsible for their own conduct, for safe and lawful use of the asset, and for the obligations in this Agreement.

Sourced Rentals may assist with communication, documentation, payments, and disputes. Doing so does not make Sourced Rentals a party to the rental or the owner of the asset.

• Sourced Rentals does not currently provide or sell insurance through the marketplace, unless a specific booking expressly identifies an insurance or protection product presented during booking.
• Whether insurance is available for a rental depends on the asset, how it is used, the Host, the Renter, and the applicable policies and laws.
• Hosts and Renters are each responsible for determining whether they have appropriate insurance or other financial protection for the rental.
• Personal, homeowners, renters, automobile, boat, recreational-vehicle, farm, and business policies may exclude peer-to-peer rental activity. Do not assume an existing policy covers a rental arranged through Sourced Rentals.
• Hosts should confirm with their insurer that renting their particular asset to third parties is permitted and appropriately covered.
• Renters should confirm whether their own coverage applies to the specific asset and the specific rental activity.
• Sourced Rentals makes no representation that any insurance coverage exists for a given rental. Where a Host requires proof of insurance, Sourced Rentals stores the document the Renter uploads and checks the stated expiration date; it does not verify, validate, or guarantee coverage.
• If an insurance or protection product is ever offered through the marketplace, its coverage description, price, deductible, limits, eligibility, policy terms, and claims instructions will be presented during booking and will govern that product.

Each booking may include terms specific to that listing. Listing-specific terms are shown before checkout and, once booked, become part of this Agreement for that rental. They may include:

• Asset name, make, model, and year
• VIN, hull ID, or serial number where applicable
• Host identity and contact method
• Pickup and return location
• Rental dates and pickup/return window
• Rental price, platform fees, and taxes
• Security deposit amount
• Mileage or engine-hour limits and overage rates
• Fuel, charge, and fluid requirements
• Operating restrictions and prohibited uses
• Geographic restrictions
• Required qualifications (license, endorsement, certification, training)
• Required safety equipment
• Insurance requirements, if the Host sets any
• Special Host instructions

Where a listing-specific term conflicts with this Agreement, the listing-specific term controls for that booking, except where it conflicts with applicable law.

Some asset types carry requirements that do not apply to every rental. Sourced Rentals may publish category-specific addenda that attach automatically to bookings in that category and supplement this Agreement. Where an addendum applies, it controls over conflicting terms in this Agreement for that booking.

• Vehicle Rental Addendum — Trucks, cars, and other registered road vehicles. Not yet published; general terms apply.
• Boat Rental Addendum — Boats, personal watercraft, and marine equipment. Not yet published; general terms apply.
• Powersports Rental Addendum — Dirt bikes, ATVs, UTVs, and side-by-sides. Not yet published; general terms apply.
• Heavy Equipment Rental Addendum — Skid steers, excavators, tractors, and construction equipment. Not yet published; general terms apply.
• Trailer Rental Addendum — Utility, enclosed, boat, and equipment trailers. Not yet published; general terms apply.
• Other Equipment Addendum — Mowers, tillers, generators, and general household or yard equipment. Not yet published; general terms apply.

The Host represents that, to the best of the Host's knowledge:

• The Host owns the asset or otherwise has legal authority to rent it.
• The asset is not stolen.
• The Host has authority to enter into the rental.
• The asset is reasonably safe and operational for its intended use.
• Required maintenance has been performed.
• Required registrations, titles, licenses, or inspections are current where applicable.
• Required safety equipment is present.
• Known material defects have been disclosed to the Renter.
• The listing accurately describes the asset.
• Material operating restrictions have been disclosed.

The Host also agrees to:

• Provide reasonable operating instructions where appropriate.
• Not knowingly list unsafe equipment.
• Comply with applicable laws and regulations.
• Verify that their insurance arrangements permit the rental activity where insurance is required or appropriate.

Sourced Rentals does not independently inspect assets or verify each Host representation. These representations are made by the Host to the Renter.

The Renter agrees to:

• Provide accurate identification and account information.
• Use the asset only for its intended and permitted purpose.
• Follow manufacturer instructions and the Host's instructions.
• Operate the asset safely and only with authorized operators.
• Comply with applicable laws.
• Not operate the asset while impaired.
• Not race the asset or operate it recklessly.
• Not overload the equipment or exceed manufacturer limits.
• Not modify the equipment or remove or disable safety equipment.
• Not tamper with GPS, telematics, odometers, hour meters, or other monitoring devices.
• Not sublease or transfer possession without authorization.
• Not use the asset for unauthorized commercial purposes.
• Not transport the asset outside approved geographic areas without authorization.
• Return the asset on time and in the required condition.

• Renters must satisfy the legal age and licensing requirements that apply to the asset and its use in the applicable jurisdiction.
• Individual listings may set additional age or experience requirements.
• Certain assets may require a valid driver's license, boating credential, endorsement, certification, training, or other qualification.
• Only operators authorized on the booking, or otherwise approved in writing by the Host, may operate the asset.

Requirements that apply to a specific listing are shown with that listing before checkout.

The Renter may not use the asset for or in connection with:

• Illegal activity of any kind.
• Operation while impaired by alcohol, drugs, or any impairing substance.
• Racing, competition, or reckless operation.
• Unauthorized commercial use or commercial hire not disclosed at booking.
• Overloading or exceeding manufacturer weight, capacity, or performance limits.
• Unauthorized towing.
• Unauthorized modification of the asset.
• Tampering with safety systems.
• Tampering with GPS or telematics devices.
• Tampering with odometers or hour meters.
• Subleasing or transferring possession.
• Use by operators not authorized on the booking.
• Unauthorized interstate or international transportation.
• Use outside manufacturer specifications.
• Any activity prohibited by the listing or by the Host.

At pickup, the Host and/or Renter should document the asset's condition:

• Photos of all sides of the asset, including all material existing damage.
• Odometer or hour-meter reading, where applicable.
• Fuel or charge level, where applicable.
• Required accessories and safety equipment included with the rental.

At return, condition should be documented again:

• Photos from the same angles used at pickup.
• Any new damage.
• Odometer or hour-meter reading and fuel or charge level, where applicable.
• Return of all accessories and safety equipment.

Sourced Rentals retains timestamped records of documentation submitted through the platform where technically possible. If documentation is not completed, the parties may need to rely on other available evidence, which can make a damage dispute harder to resolve.

Normal wear and tear means ordinary deterioration reasonably expected from permitted use — for example, minor cosmetic marks, tire and blade wear, or routine fluid consumption. Renters are not charged for normal wear and tear, and a difference between pickup and return condition is not automatically chargeable.

Chargeable damage means damage or loss caused by misuse, abuse, neglect, unauthorized operation, accident, prohibited use, failure to follow instructions, or other conduct for which the Renter is responsible under this Agreement.

To submit a claim, the Host should use the platform's claim process and provide, when reasonably available:

• Photos of the damage.
• A written description of the damage or loss.
• Pre-rental condition documentation.
• Post-rental condition documentation.
• Repair estimates or invoices.
• Replacement documentation, where the asset cannot be repaired.
• Any other relevant evidence.

Sourced Rentals may review the documentation submitted and, before processing a disputed charge, may give the Renter a reasonable opportunity to respond, subject to the platform's payment terms and the limits of the payment processor. Sourced Rentals is not an insurer, does not adjudicate insurance claims, and does not guarantee any particular outcome between a Host and a Renter.

Insurance claims, where any policy applies, are handled by the applicable carrier under that policy's terms, limits, exclusions, and deductibles.

If an accident, injury, theft, fire, or other emergency occurs, the Renter should:

• Prioritize personal safety and contact emergency services when necessary — emergency services come before contacting the Host or Sourced Rentals.
• Take reasonable steps to prevent additional damage or injury.
• Notify the Host and Sourced Rentals promptly once it is safe to do so.
• Document the incident when it is safe to do so.
• Cooperate with any reasonable investigation and with applicable insurance processes.
• Avoid making admissions of liability or settling claims on behalf of another party.

• A grace period of 30 minutes applies to the agreed return time. After the grace period, the Renter is charged the asset's daily rate for each additional 24-hour period or portion of one, unless the Host agrees otherwise in writing.
• If a late return causes the Host to lose a subsequent confirmed booking, the Renter may be responsible for that documented lost rental revenue.
• A failure to return an asset without the Host's authorization may result in additional rental charges, recovery costs, damage claims, cancellation of future bookings, account suspension, collection activity, civil remedies, and contacting law enforcement where the circumstances reasonably indicate theft or other unlawful possession.

A late return is not, by itself, a determination that an asset has been stolen. Whether any conduct is unlawful is determined by law enforcement and the courts, not by this Agreement.

• Fuel and charge: the Renter returns the asset at the fuel or charge level documented at pickup. If returned lower, the Renter is charged the fuel or charging cost plus the refueling or recharging fee disclosed in the listing terms.
• The Renter must use the fuel, oil, and fluid grades specified by the Host or the manufacturer. Using an incorrect fuel or fluid makes the Renter responsible for the resulting repair costs.
• Cleaning: the asset must be returned in a similar state of cleanliness as at pickup. Cleaning fees, if any, are disclosed in the listing terms and must reasonably reflect the cleaning actually required.
• Smoking inside enclosed equipment (cabs, cabins, interiors) may trigger a deodorization fee where disclosed in the listing terms.

• Any daily mileage or engine-hour cap set by the Host applies. Overage is billed at the per-mile or per-hour rate shown on the listing.
• The asset may not leave the geographic area agreed with the Host without the Host's written consent.

Charges associated with a booking are disclosed before checkout and may include:

• Rental price — the Host's rate for the rental period.
• Platform fees — the Sourced Rentals service fee or commission.
• Taxes — where applicable.
• Security deposit — an authorization hold, described below.
• Damage charges — under Section 10.
• Late fees — under Section 12.
• Cleaning and fuel charges — under Section 13.
• Other disclosed charges — such as add-on services or overage fees shown in the listing terms.

Security deposit. Where a listing includes a security deposit, the Renter authorizes Sourced Rentals, through its payment processor, to place a pre-authorization hold on the Renter's payment method for the deposit amount shown at checkout. A hold is not a charge. The hold is released after the return review window closes, less any amounts properly charged under this Agreement. Authorization holds expire on the payment processor's schedule; if a hold expires, any remaining amounts must be handled as a separate charge or claim.

Sourced Rentals may only process charges that are disclosed in this Agreement or the listing terms and that the payment processor and the Renter's payment method actually support. Amounts that exceed what can be charged to the payment method on file may be pursued directly between the parties or through other lawful means.

Cancellations and refunds follow the cancellation policy in the Terms of Service.

• Sourced Rentals facilitates listings, connections, bookings, payments, communications, documentation, and related marketplace functionality.
• Hosts remain responsible for the condition, ownership, legality, maintenance, and accuracy of their listings.
• Renters remain responsible for their conduct and their use of rented assets.
• Sourced Rentals does not guarantee that every listing is suitable, safe, legal, available, or accurately described, and does not inspect assets.

Sourced Rentals remains responsible for its own conduct in operating the marketplace and for obligations it cannot disclaim under applicable law. Nothing in this Agreement limits liability for fraud, willful misconduct, gross negligence, or any other liability that cannot lawfully be limited.

Renting and operating equipment — including trucks, trailers, boats, powersports vehicles, tractors, mowers, tillers, and construction equipment — involves risks that are inherent to the activity even when the equipment is properly maintained and operated. The Renter acknowledges those inherent risks and accepts responsibility for them in connection with the Renter's authorized use of the asset.

The Renter is responsible for loss or damage caused by the Renter's misuse, negligence, unauthorized use, prohibited use, or violation of this Agreement, and for the conduct of anyone the Renter allows to operate the asset.

This section does not waive, release, or limit any liability that cannot be waived or limited under applicable law, including liability for gross negligence, willful or wanton misconduct, or fraud. Whether any provision of this Agreement is enforceable is determined by a court or arbitrator applying applicable law; no provision is represented to be automatically enforceable. If any provision is held unenforceable, the remainder of this Agreement stays in effect.

Each user agrees to indemnify, defend, and hold harmless the other party to the rental and Sourced Rentals / T1 Ventures, LLC from third-party claims, losses, liabilities, and reasonable expenses (including reasonable attorneys' fees) to the extent they arise out of that user's:

• Breach of this Agreement or the listing terms.
• Negligence or more culpable conduct.
• Misuse of the equipment.
• Unauthorized use, or use by an unauthorized operator.
• Violation of applicable law.
• Damage caused by that user's conduct.

This obligation is proportional: it does not apply to the extent a claim arises from the indemnified party's own negligence, willful misconduct, or breach. The indemnified party must give prompt notice of a claim and reasonably cooperate in its defense.

Several documents may apply to a rental. If they conflict, they apply in this order:

1. Applicable law
2. The specific booking confirmation and listing-specific terms
3. Any category-specific addendum that applies to the asset
4. This Rental Agreement
5. The Sourced Rentals Terms of Service and other posted policies

The full set of documents that may apply: the Terms of Service, Host terms, this Rental Agreement, category-specific addenda, listing-specific terms, the Privacy Policy, the cancellation policy, and the damage and claims process described in Section 10.

The parties should first attempt to resolve a dispute directly through Sourced Rentals messaging and the claim process in Section 10.

This Agreement is governed by the laws of the State of Indiana, without regard to conflict-of-laws principles, except where the law of another jurisdiction must apply. Disputes involving Sourced Rentals are subject to the dispute-resolution provisions of the Terms of Service, including individual arbitration where those provisions apply and are enforceable. Nothing here prevents either party from bringing a qualifying claim in small-claims court or from seeking injunctive relief where available.

Before a booking can be started, the Renter must electronically sign this Agreement on the listing page by typing their full legal name and affirmatively consenting. By listing an asset and accepting a booking, the Host agrees to this Agreement. The booking receipt, listing snapshot, and pickup and return documentation are part of the applicable rental agreement.

The parties consent to transact electronically under the federal Electronic Signatures in Global and National Commerce Act (E-SIGN) and the Uniform Electronic Transactions Act (UETA) as adopted in Indiana. A typed name submitted through the Sourced Rentals signature block constitutes that party's legal signature and has the same force and effect as a handwritten signature on a paper contract. Neither party will contest the validity, enforceability, or admissibility of this Agreement solely because it was signed electronically.

Sourced Rentals records the signer's name, account, the agreement version signed, the date and time of signing, the IP address, and the device user agent as evidence of execution, and retains that record for the applicable statute of limitations. A signer may request a copy of their execution record at any time by contacting support, and may print or save this Agreement using the print option at the top of this page.

Sourced Rentals may update this Agreement. The version in effect at the time of signing and booking applies to that booking. Material updates are posted here with a new version number and updated date, and a new signature is required before the next booking.
